The website located at opencommo.com (the "Site") is owned and operated by OpenCommo ("OpenCommo," "we," "us" or "our"). These Terms of Use ("Terms") govern your use of the Site and of Basil, our AI sourcing agent, including the sourcing jobs you send us by email or other channels (together with the Site, the "Service"). By accessing or using the Service you agree to these Terms on behalf of yourself or the entity you represent, and you confirm you have authority to do so. You must be at least 18 years old to use the Service.

1. Your information

You must provide accurate contact and company information and only send jobs you are authorized to place for the entity you represent. Notify us immediately at hello@opencommo.com of any unauthorized use of your name or company.

2. Acceptable use

You may not use the Service:

• to process data you do not have the right to process, or in violation of applicable law (including privacy law);
• to attack, disrupt, reverse engineer, or gain unauthorized access to the Service or other users;
• to build a competing product using our outputs;
• to submit content that is unlawful, harmful, or infringing.

We may decline or stop jobs that violate these Terms or that create security or billing risk.

3. Sourcing service terms

When you send Basil a job, we contact suppliers on your behalf to request offers and return them to you for comparison. We do not buy, sign contracts, or commit to any supplier on your behalf; every purchasing decision, and any contract with a supplier, is yours. Supplier offers, specifications, and documents are provided by the suppliers, and we do not guarantee their accuracy, availability, or performance. We target timely delivery of offers but do not guarantee a number of offers or a delivery date; the Service should not be your sole basis for financial, legal, or other high-risk decisions. You are solely responsible for decisions and actions you take based on Service output.

4. Fees and payment

There is no subscription. Each job is priced and invoiced per job, as agreed with you before the job starts. Fees are non-refundable except as required by law. We may change prices with at least 30 days' notice; price changes do not apply to jobs already agreed.

5. Intellectual property

We retain all rights in the Service, including models, documentation, and software. You retain all rights in the requirements and documents you send us. You may not copy, resell, or sublicense the Service except as expressly permitted.

6. Feedback

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or attribution.

7. Confidentiality

Non-public information about the Service that we designate as confidential must be used only to exercise your rights under these Terms and not disclosed to third parties.

8. Disclaimer of warranties

EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OUTPUT WILL BE ACCURATE OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

10. Indemnification

You will defend and indemnify us against third-party claims arising from your use of the Service in violation of these Terms or applicable law.

11. Termination

You may stop using the Service at any time. We may suspend or terminate the Service for material breach (with notice where practicable) or where required by law. Sections 3, 5, 6, 7, 8, 9, and 10 survive termination.

12. Governing law and disputes

These Terms are governed by the laws of France, excluding its conflict-of-laws rules. The parties will attempt good-faith resolution for 30 days before commencing proceedings, which will take place in the courts located in France. Either party may seek injunctive relief for infringement or misuse of intellectual property at any time.

13. Changes

We may modify these Terms with notice through the Service or email at least 30 days before changes take effect. Continued use after the effective date constitutes acceptance.
